Terms and Conditions of Sale

Purpose

These terms and conditions of sale (CGV) govern the professional training services provided by UPGRADE (UPGRADE ACADEMY) (hereinafter "the Organization").

Any enrollment in a training course implies the client's unreserved acceptance of these CGV (hereinafter "the Trainee" for individuals or "the Client" for companies).

Scope

These CGV apply to all training courses offered by UPGRADE ACADEMY, whether ordered by:

Individuals (B2C)

Any natural person enrolling on an individual basis. The Trainee benefits from the provisions of the Code de la consommation, in particular the 14-day right of withdrawal for contracts concluded remotely.

Companies (B2B)

Any legal entity enrolling one or more employees. Enrollment is the subject of a professional training agreement in accordance with articles L.6353-1 and following of the Code du travail. Companies do not benefit from the right of withdrawal (Code de commerce).

Description of the training courses

UPGRADE ACADEMY offers the following programs:

Paid programs

• Agents IA Pro: synchronous remote training, duration 12h, price 497 EUR incl. tax
• Creative IA Pro: synchronous remote training, duration 12h, price 497 EUR incl. tax
• Vibe Coding IA Pro: synchronous remote training, duration 12h, price 497 EUR incl. tax

Free program

• Tutos IA Gratuit: freely accessible educational resources, enrollment via Systeme.io

Challenge

• Challenge Immersion IA: free introductory challenge to artificial intelligence

The learning objectives, the detailed program, the prerequisites and the assessment methods of each training course are described in the program sheets available on the website.

Enrollment and access

Paid programs

Enrollment in the paid programs requires a mandatory prior appointment with the trainer, Jérémy François. This appointment makes it possible to confirm the match between the candidate's profile, their objectives and the content of the training course. It is not a direct online purchase.

Following validation of the profile, payment is made via the Circle.so platform, which gives access to the learner area.

Access lead time: at least 7 days before the start of the training course, as of the confirmation of enrollment.

Free program

Enrollment in the free "Tutos IA Gratuit" program is done via Systeme.io. Access is immediate after enrollment.

Price and payment

The price of each paid program is 497 EUR incl. tax.

Prices are indicated in euros, all taxes included. UPGRADE (UPGRADE ACADEMY) is not subject to VAT on professional training services in accordance with article 261-4-4°-a of the Code général des impôts (subject to the exemption certificate).

Payment methods

• Secure online payment via Circle.so
• Payment in 3 interest-free installments possible (subject to conditions, to be confirmed at the appointment)

Invoicing

An invoice is issued at the end of the training course or according to the terms of the training agreement for B2B clients.

Third-party funding

OPCO funding

Companies may request coverage from their OPCO (Opérateur de Compétences). UPGRADE ACADEMY provides a training agreement and the documents required for the funding request.

In the event of partial coverage, the remaining balance is invoiced directly to the Client.

France Travail

Job seekers may request funding via France Travail (Aide Individuelle à la Formation - AIF). A tripartite agreement is established between the Organization, France Travail and the Trainee.

CPF (Compte Personnel de Formation)

The CPF is not currently available for our training courses. CPF eligibility requires an RNCP or RS certification in addition to Qualiopi. We work with certified partner organizations to support learners wishing to use their CPF.

Right of withdrawal

Individuals (B2C)

In accordance with article L.221-18 of the Code de la consommation, the individual Trainee has a period of 14 days from the signing of the remote contract to exercise their right of withdrawal, without having to give any reason or pay any penalty.

To exercise this right, the Trainee must send their request by email to contact@selfupgrade.fr or by mail to the registered office of the Organization, clearly indicating their intention to withdraw.

In the event of withdrawal, the Organization will make a full refund within 14 days of receipt of the request.

If the Trainee has expressly requested to begin the training course during the withdrawal period and subsequently exercises their right, the amount corresponding to the services already provided will be invoiced to them on a pro rata basis.

Companies (B2B)

Company clients do not benefit from the right of withdrawal provided for by the Code de la consommation. Cancellation conditions are governed by the training agreement.

Cancellation and postponement

Cancellation by the Trainee

• Cancellation more than 14 days before the start of the training course: full refund
• Cancellation between 7 and 14 days before the start: 50% refund
• Cancellation less than 7 days before the start: no refund (except in cases of force majeure)

Cancellation by the Organization

UPGRADE ACADEMY reserves the right to cancel or postpone a training session in the event of force majeure or if the minimum number of participants is not reached. The Trainee is informed as soon as possible and may choose between a full refund or a postponement to the next available session.

Postponement

A session may be postponed upon justified request, subject to availability. The request must be made at least 7 days before the start of the training course.

Liability

Obligations of the Organization

UPGRADE ACADEMY undertakes to implement all the educational resources necessary to carry out the training course in accordance with the announced program. This is an obligation of means and not of result.

Obligations of the Trainee

The Trainee undertakes to attend the training course diligently, to respect the schedule, to participate actively in the practical exercises and not to disrupt the smooth running of the training course.

Intellectual property

All course materials, recordings, educational content, exercises and documents provided as part of the training courses remain the exclusive property of UPGRADE (UPGRADE ACADEMY).

Any reproduction, distribution or use of this content for commercial purposes is strictly prohibited without prior written authorization.

Protection of personal data

UPGRADE ACADEMY collects and processes personal data as part of the management of enrollments and educational follow-up.

Dispute resolution

Complaint

In the event of a complaint, the Trainee is invited to contact the Organization by email at contact@selfupgrade.fr or via the online complaint procedure.

Consumer mediation (B2C)

In accordance with articles L.611-1 and following of the Code de la consommation, in the event of an unresolved dispute, the individual Trainee may use the consumer mediation service free of charge:

Competent courts (B2B)

For company clients, any dispute not resolved amicably will be submitted to the competent courts within the jurisdiction of the Organization's registered office.

Governing law

These CGV are governed by French law. Any difficulty relating to their interpretation or performance will be submitted to the competent French courts.
